FEATURES OF LEGAL REGULATION ELIMINATION COMPANY: LEGISLATIVE NOVELTIES

In the present article, the author examines the legal problems of liquidation of the company, resulting in the light of recent changes to Part 4 of the Civil Code. The entry into force of these amendments has led to inconsistencies between individual standards two main legal acts regulating the process of liquidation of the JSC - Russian Civil Code and the Law on Joint Stock Companies. The presence of the mentioned conflicts may adversely affect the rights of persons whose interests are legally regulated process of elimination, so the author's research aimed at finding legal conflicts and develop proposals to eliminate them. In the present research as a base applied the dialectical method of cognition of reality, the legal method used simulation, formal-legal method. We study the articles of the Civil Code on the liquidation of legal entities in respect of which the recent changes introduced, they identified contrary to the rules of the JSC Law, studied the opinions of various researchers, provides examples of problems in the application of existing legislation. Studies conducted by the author under the present article, revealed a number of controversial issues in order liquidation of joint stock companies, and clearly enough to the law, as well as a number of contradictions between the regulatory standards of the Civil Code and the JSC Law. The study made by the author in a series of conclusions and proposals for improving the legal framework, it may be subject to scientific debate, criticism from scientists. The study presents an original point of view of the author on the current state of the legal regulation of the process of liquidation of the JSC, its own vision of the problems and ways of their solution, which gives the paper a certain scientific and practical value of the options address practical issues proposed by the author, it can be used to overcome problematic situations, rather often resulting in the liquidation of the JSC. Implementation legislator proposed ways to improve the legal regulation can have a positive social effect in terms of a strict observance of the interests of citizens and organizations concerned with the liquidation of the JSC
