Abstract:
Background. The aim of the article is to study the basic trends in European corporate law for overcoming conflict of interest in joint-stock company. Foreign scientists, who were engaged in this topic: Bohinc R., Demski J., Enriques L., Volpin P., Enriqes D., Jensen M., Meckling W., L’Huillier B., Margotta D., Park D., Rosa G., Shopovski J., Shukla L., Sayrak A., Warburton A. Materials/methods. During the study were used scientific methods (compilation of data and system analysis), as well as legal methods (comparison, formal). Research area was limited to the study of the legislation of Great Britain, France and Germany in the field of regulation of corporate relations in joint-stock company. Particular attention was paid to the methods of overcoming the conflict of interests between shareholders and management, as well as between majority and minority shareholders. Results. The study identified the following main areas of prevention of negative consequences of the conflict of interests in joint-stock company in the European Union: the activities of the Supervisory Board, the provision of additional rights to minority shareholders, the establishment of disclosure requirements and state control over the activities of public companies. Scope of the study/possibility of further use of the results of scientific work. A study of the European experience in managing conflicts of interest in joint-stock company may be used for the development of legislation in the Russian Federation. Originality/value. The work is intended for scientists involved in issues of civil and corporate law, as well as for practitioners.
