Objective: In this article we will focus on the original stages of mergers and acquisitions that are the most important in the opinion of the author. The purpose of this article is to show how the development of legislation of foreign countries in the field of mergers and acquisitions, and also that foreign borrowing methods of protection against a hostile takeover will help improve Russian legislation in the field of protection of legal persons from hostile takeovers. Methods: It was used comparison and analysis methods. Conclusions: The conclusions were made about the need for the Federal Law «On Limited Liability Companies» and the Federal Law «On Joint Stock Companies» chapter on the rights and obligations of the buyer share / shares in the company using the principles prescribed in the City Code. Value: The article is primarily intended for entities which have legislative initiative, but it will be also useful to lawyers in corporate law, because it shows the disadvantages of existing legal framework
