Abstract:
In this article the author discusses one of the questions of civil regulation concerning limited liability companies in the Russian Federation and in the Federal Republic of Germany, in particular, formation of limited liability companies, as well as changes in legislation. Theoretical and practical importance of this problem is related to the numerous changes in legislations of the both selected states and to the relevance of this form of legal entities in the Russian and German systems of law. In the proposed work the author considers the peculiarities of formation of limited liability companies in Russia and Germany including a debating question of the minimum founding capital. The author focuses on the analysis and comparison of legal systems in these states. Moreover, this article is an essential part of the author`s bachelor degree work. The results of this study are of interest for domestic and foreign lawyers and might contribute to legal improvement of the regulation of limited liability companies.
