THE CIVIL LIABILITY OF MEMBERS OF MANAGEMENT BODIES OF BUSINESS ENTITIES

In this article the author analyzed the institute of civil liability of members of management bodies of companies in commercial organizations, as in accordance with the civil law of their organization in no commercial organizations requires a separate study. The topic is relevant due to the lack of developed legislative regulation of the activities and responsibilities of persons exercising the powers of the management bodies of legal entities, as well as within the framework of reforming civil legislation. The purpose of this work is to study the issues of civil liability for violations in the sphere of economic societies in Russia and foreign law orders such as the United States, Great Britain, Germany and others, in order to identify the main elements of the institute, differences, since Russian corporate law is in many respects similar to English-Saxon and German law.
