Abstract:
Target to achieve. The aim of this paper is a express review of the development of the corporate governance as a subject of research. The article forms comprehensive understanding of the problem, making connection between the results of different researches, which seems to be really contradictionary from the first view and build it as a one figured conception. The model. As basic methods of scientific cognition the article uses analysis method of the most significant researches of corporate governance problem and synthesis method for results of these researches which allows to understand connections between different approaches to corporate governance problems. Researching frames. The survey covers the most significant according to the author opinion researches in corporate governance field from the first full analysis of this topic in 30-th of 20s century till the our days. Grand resumes. The corporate management issues are not the separate discipline, it’s a whole piece of the theory of firm and the theory of organizational management, because of the processes of analysis the correlation between the governance and the firm’s management. It’s only seems that there arenumbers of opinions and different resumes in each research, but all this meanings are building the one conception. The value of the research. The agent’s costs in the process of the corporate management make a huge damage to the companies, and, delay the development of the economy. The understanding of the reasons of agent’s costs and risks give the opportunity to asses companies’s activity from the other point of view and re-organize current business process in the company. Also, this research helps to well understand the general principles underpinning of the effective codes of corporate governance, reasons and targets of it’s acceptance, risks and costs for which minimization the code were developed.
