A RETROSPECTIVE ANALYSIS OF THE REGULATION OF CORPORATE CONTRACTS IN RUSSIA

The article analyzes the formation of legislation aimed at regulating shareholder agreements in the Russian Federation. The author has analyzed in detail the judicial practice devoted to disputes related to the application of corporate contracts in Russia. Separately, the author analyzes the case of Megafon related to the recognition by the court of all the provisions of the shareholders' agreement that contradicted Russian corporate law, the recognition of void clauses on the applicable Swedish law, and the provisions of the corporate agreement governing the status of OJSC Megafon and the rights and obligations of its shareholders.
