Abstract:
On June 1, 2015 the new provisions of the Russian Civil Code relating to the Law of Obligations came into force. According to the new provision of article 307 of the Russian Civil Code apart from the duties expressly stated in a contract parties may simultaneously be subject to additional duties arising directly from law (e.g. information and cooperation duties, and the duty to behave according to the principle of good faith and fair dealing). In German law the doctrine of additional duties (Nebenpflichten) for contractual parties based on legal provisions is very well developed. One of subcategories of such additional duties are those which are aimed at maintenance in an undamaged state of material and immaterial values already owned by the other party (so that the obligor does not infringe them while performing the main obligation). Such kind of additional duties are called Schutzpflichten (protective duties) in doctrine. The legal basis for them is para 2 §241 of the German Civil Code (BGB). The present article gives an overview of the doctrine of protective duties from a comparative point of view.
