Abstract:
Background: The aim of the article is analysis of legal regulation of Invalid Articles of Association according to German civil law. Materials and methods: The author using analysis and synthesis methods, corporative method considers regulation of invalid deals concluded by the foundation of legal entities (Articles of Association) and the theory on invalid entity in German law. Results: As a result of research the consequences of conclusion of Invalid Articles of Association according German law are considered. Originality/importance: The article is an in-depth study of Invalid Articles of Association through the lens of theory and court practice of Germany. The article is oriented to civilists interested in comparative law studies and German law.
